These Terms of Service ("Terms") are a binding agreement between you and Paratum Life, LLC, a Texas limited liability company [ATTORNEY: verify entity formation, type, and good standing] ("Paratum Life," "we," "us"), governing your use of the Paratum Life application, website, and related services (the "Service").
By creating an account, redeeming an invitation, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
You must be at least 18 years old and able to form a binding contract to use the Service. You may not use the Service if you are barred from doing so under applicable law.
Paratum Life helps individuals and families organize, store references to, and be reminded about personal, medical, financial, and household information, and share that information with people they choose.
Paratum Life is not:
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at support@paratum.life if you suspect unauthorized access. You agree to provide accurate registration information and keep it current.
The Service organizes data into vaults. A vault may contain households and records about individual people.
This is important. Paratum Life is designed for recording information about family members and others in your care.
By entering information about another person, you represent and warrant that you have the legal right and authority to do so — as that person's agent, guardian, conservator, holder of a power of attorney, personal representative, or with their informed consent — and that your collection, storage, and sharing of that information through the Service complies with all applicable laws.
You are responsible for honoring any request from that person (or their authorized representative) to access, correct, or delete their information. You agree to indemnify us for claims arising from information you enter about another person without adequate authority or consent.
Never store the following in Paratum Life: passwords, passphrases, PINs, one-time-passcode seeds, multi-factor backup codes, full payment card numbers, full bank account numbers, or complete government identification numbers (including Social Security numbers). The Service is built for references and locations — for example, "recovery email is X," "policy ending 4821," "original in the fire safe" — not for the secrets themselves.

We may suspend or terminate accounts that violate this section.
You retain all ownership of the information, documents, and files you put into the Service ("Your Content").
You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process Your Content solely to operate, secure, maintain, and support the Service for you and the people you have authorized. This license ends when Your Content is deleted, except for backup copies retained for a commercially reasonable period and content retained as required by law.
We do not sell Your Content, and we do not use it to train machine learning models.
Our handling of personal information is described in our Privacy Policy.
We use commercially reasonable administrative and technical safeguards, including encryption of data in transit, access controls tied to the permission model described in Section 5, and hashed storage of account passwords. No method of transmission or storage is perfectly secure, and we cannot guarantee absolute security.
Uploaded document files are stored in private object storage and are served only by streaming them through the Service after your access to the specific document has been verified. They are not exposed at public links.
Health information. Paratum Life is a consumer product. Unless we have signed a Business Associate Agreement with you, we are not acting as a HIPAA business associate, and information you store is not protected health information subject to HIPAA in our hands. You are responsible for determining whether your own use of the Service is consistent with any legal obligations you have.
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time. Some features may be offered as previews or beta and may change or be withdrawn without notice.
The Service is a convenience, not a vault of record. You are responsible for retaining original signed documents, physical records, and independent copies of anything important. Do not rely on the Service as your only copy of any document or information. We are not liable for loss, corruption, or unavailability of Your Content.
Paratum Life exists in large part to help families at exactly these moments, so please plan ahead:
The Service is presently provided free of charge. We may introduce fees in the future and will give you notice before charging you.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service.
On termination, your right to use the Service ends. We will make Your Content available for export for a reasonable period where practicable, after which it may be deleted. Because vaults are shared, deleting your account does not necessarily delete a vault or records that other members retain rights to. Sections that by their nature should survive termination — including Sections 6, 7, 8, 11, 15, 16, 17, and 18 — survive.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT INFORMATION IN IT IS ACCURATE, COMPLETE, OR CURRENT. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR COSTS OF SUBSTITUTE SERVICES, ARISING FROM OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence. Some jurisdictions do not allow these limits, so parts of this section may not apply to you.
You agree to indemnify, defend, and hold harmless Paratum Life and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: your use of the Service; Your Content; your sharing and access decisions; your entry of information about another person without adequate authority or consent; or your violation of these Terms or applicable law.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. [ATTORNEY TO CHOOSE: the exclusive venue for disputes will be the state and federal courts located in Fayette County, Texas, and both parties consent to that jurisdiction — OR — insert an arbitration clause with class-action waiver and opt-out mechanism. We may update these Terms. If changes are material, we will provide reasonable notice — by posting in the Service, emailing you, or both — before they take effect. Continued use after the effective date means you accept the updated Terms. If you do not accept them, stop using the Service and delete your account.
These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If a provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, agency, or employment relationship.
